Acceptance of Terms

By accessing and using the services provided by hungrybmrb, including our website, IT infrastructure services, and related offerings, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you are prohibited from using our services. Your continued use of hungrybmrb services constitutes acceptance of any modifications to these terms.

Service Description

hungrybmrb provides professional IT infrastructure services including but not limited to cloud infrastructure solutions, network management, security solutions, data management, technical support, and consulting services. Our services are designed to support business operations and may be customised based on individual client requirements. Service specifications, deliverables, and timelines will be detailed in separate service agreements or statements of work.

User Obligations and Responsibilities

As a user of hungrybmrb services, you agree to provide accurate and complete information, maintain the confidentiality of any access credentials, use services only for lawful purposes, comply with all applicable laws and regulations, and promptly notify us of any unauthorised use of your account. You are responsible for all activities that occur under your account and must ensure that your use of our services does not interfere with or disrupt our systems or other users' access to services.

Intellectual Property Rights

All content, materials, software, and intellectual property provided by hungrybmrb, including but not limited to proprietary methodologies, documentation, software tools, and technical knowledge, remain the exclusive property of hungrybmrb or our licensors. Clients retain ownership of their data and content but grant hungrybmrb necessary rights to provide services. You may not copy, modify, distribute, or create derivative works from our intellectual property without explicit written permission.

Payment Terms and Conditions

Payment terms for hungrybmrb services will be specified in individual service agreements or invoices. Unless otherwise agreed, payments are due within 30 days of invoice date. All fees are exclusive of applicable taxes, which will be added as required by law. Late payments may incur interest charges as permitted by Dutch law. hungrybmrb reserves the right to suspend services for overdue accounts after appropriate notice.

Service Level Agreements

Service level commitments, including availability targets, response times, and performance metrics, will be detailed in specific Service Level Agreements (SLAs) where applicable. While hungrybmrb strives to provide reliable and high-quality services, we cannot guarantee uninterrupted service due to factors beyond our control, including but not limited to internet connectivity issues, third-party service failures, or force majeure events.

Data Protection and Privacy

hungrybmrb is committed to protecting your privacy and personal data in accordance with the General Data Protection Regulation (GDPR) and Dutch privacy laws. Our data processing practices are detailed in our Privacy Policy, which forms an integral part of these terms. By using our services, you consent to the collection, processing, and use of your data as described in our Privacy Policy. We implement appropriate technical and organisational measures to ensure data security.

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of the service relationship. hungrybmrb agrees to maintain the confidentiality of client data and proprietary information and will not disclose such information to third parties except as necessary to provide services or as required by law. Clients similarly agree to maintain confidentiality of hungrybmrb's proprietary methods, pricing, and other confidential information.

Limitation of Liability

To the maximum extent permitted by Dutch law, hungrybmrb's total liability for any claims arising from or related to these terms or our services shall not exceed the total amount paid by the client for services in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, regardless of the theory of liability and even if advised of the possibility of such damages.

Force Majeure

hungrybmrb shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, internet or telecommunications failures, or failures of third-party services. In such events, we will make reasonable efforts to minimise the impact and will notify affected clients as soon as practicable.

Termination

Either party may terminate the service relationship with appropriate notice as specified in individual service agreements. hungrybmrb reserves the right to immediately terminate or suspend services if a client breaches these terms, fails to pay fees when due, or engages in activities that may harm our systems or reputation. Upon termination, clients remain responsible for all fees incurred up to the termination date, and hungrybmrb will provide reasonable assistance with data retrieval subject to applicable retention policies.

Indemnification

Clients agree to indemnify and hold harmless hungrybmrb from any claims, damages, or expenses arising from their use of services, breach of these terms, violation of applicable laws, or infringement of third-party rights. This indemnification obligation survives termination of the service relationship and is subject to limitations under applicable Dutch law.

Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in The Hague, Netherlands. The parties agree to attempt to resolve disputes through good faith negotiations before pursuing formal legal proceedings.

Modifications to Terms

hungrybmrb reserves the right to modify these Terms of Service at any time to reflect changes in our services, legal requirements, or business practices. We will provide reasonable notice of material changes through our website or direct communication. Continued use of our services after such modifications constitutes acceptance of the updated terms. If you do not agree to the modifications, you may terminate the service relationship in accordance with applicable termination provisions.

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intended purpose of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and hungrybmrb regarding the use of our services. These terms supersede all prior or contemporaneous communications, proposals, or agreements relating to the subject matter herein, whether oral or written.
